Authorized shares are the max a company can issue, set in its rules. Shareholders can change this. Issued shares are sold to investors. They are held by people inside or outside the company.

Outstanding shares are all held by investors, counting the ones bought back by the company. These are key for financial measures like EPS and market value.

Rules set the most shares (authorized). Issued are sold.. They help with finance stats. It can be changed by investors.
